The Trustees are the Directors of the Company, and are ultimately responsible for its accountability to Companies House. The trustees must operate both the trust and the company in accordance with the constituted Memorandum and Articles of Association. In particular, the trustees must never profit from the operations in which they control by virtue of being trustees. Further director/trustees may be selected by the existing trustees, as and when required. The company secretary does not have any voting power and the post is administrative the company secretary may also be re-appointed by the trustees. Any other person may be asked to act as a minutes secretary or administrator, and these posts may be paid for. The trustees must convene an AGM, held in an open public building, which must be publicly advertised in advance. Any member of the public may attend the AGM.

All trustees are members of the committees and may attend and take part in any functions or workings of the trust as well as contribute to the decision making processes. There will be at least one formal meeting of the trustees each year, normally held at the time of the AGM.

To carry out operations of the Celtic Heritage Trust (CHT), a management committee may meet as required. The chairman of the CHT will normally attend and convene all committee meetings, but other trustees need not attend unless they have a specific interest in the maters under consideration. The chairman may invite other people to any meeting of the committee, to give advice or take part in the decision process as the chair thinks fit. People may also be formally co-opted on to the committee, and will then be included by the secretary in all mailings of agendas and minutes. All committees report back to the next meeting of the trustees. All sub committees report back to the management committee.

The Celtic Heritage Trust may also open membership to other people, who may be referred to as ‘friends’ such affiliated members may have different types of recorded status as decided by the trustees, i.e honorary, subscribing, family, corporate etc. All members will receive notices of the AGM, and other mailings with news on the deeds and the CHT administration. Memebrs may attend and take part in the AGM, and propose motions, and nominations for both trustees, and members of the committee.
